A risk score on every contract, grounded in your playbook.
Quillio scores contracts against your firm or company's risk playbook — clause by clause — and quantifies divergence from your standard positions so you know what to negotiate and what to accept.
Quillio scores contract risk against the playbook your firm or in-house team actually uses. I read the contract clause by clause, compare each clause to your standard position and fallback position, and produce a risk score with a clear explanation of what diverges. I quantify exposure (financial, operational, regulatory) where the clause enables it. Better than a generic risk register; more accurate than clause-by-clause manual review.
What changes
Reviewing a master services agreement against the in-house playbook takes 2-3 hours — checking indemnity, limitation of liability, termination, IP, and data provisions against the company's standard positions and producing a negotiation summary.
Quillio scores the contract in 90 seconds: clause-by-clause divergence from the playbook, quantified risk exposure per clause, and a ranked negotiation list showing which clauses are worth fighting for and which to accept.
From upload to output
Load your playbook
Upload your firm or company's contract playbook — standard positions, fallback positions, and hard lines on key clauses (indemnity, limitation, termination, IP, data, liquidated damages).
Upload the contract
Upload the contract to review. I handle Word, PDF, and redlined Word documents. For multi-document contracts (MSA plus SOW) I score each document against the applicable playbook.
I score clause by clause
Each clause gets a risk score (1-5 or Red/Amber/Green), a divergence explanation, and where the clause enables it, a quantified exposure estimate (financial, operational, regulatory).
I produce the negotiation list
A ranked list of clauses to negotiate, with the fallback position from your playbook, the commercial impact, and the bargaining positions. I flag which are worth fighting for and which to accept.
You negotiate
Export the scoring and negotiation list to Word or your contract management system. I can also draft the redlines implementing the playbook fallback positions.
What you can do with Quillio contract risk scoring
- Score contracts against your firm's contract playbook
- Quantify financial exposure from indemnity and liability clauses
- Identify divergence from standard positions clause by clause
- Rank clauses by negotiation priority (impact vs bargaining position)
- Produce redlines implementing playbook fallback positions
- Track scoring patterns across contract types and counterparties
- Flag regulatory risk (ACL unfair terms, PPSA, data protection)
A real example
You are the GC of an AU SaaS company. Your sales team wants to sign a $1.2m enterprise MSA with a customer. The customer has redlined the MSA and the contract is going back and forth. You need to decide which customer redlines to accept and which to push back on.
Upload your MSA playbook (standard positions, fallbacks, hard lines). Upload the customer's redlined MSA.
In 90 seconds: clause-by-clause scoring. 4 red clauses — unlimited indemnity for IP (unacceptable; push back), 2-year warranty (double the playbook; negotiate to 12 months), data ownership (customer asking for source data rights; playbook hard line; reject), and termination for convenience at 30 days (acceptable fallback; accept). 6 amber clauses worth negotiating. 23 green clauses consistent with playbook. Quantified exposure: $3.6m on the unlimited indemnity. Ranked negotiation list with recommended redlines.

Contract Risk Scoring FAQs
How does Quillio know our risk playbook?
You upload it. I ingest your firm or company's contract playbook — standard positions, fallback positions, hard lines — and use it as the baseline for every scoring. Over time I learn the positions you consistently accept or reject and refine the scoring.
Can I score contracts even if we do not have a written playbook?
Yes. For firms and companies without a formal playbook, I start with a market-standard playbook for your sector (AU SaaS, AU property, AU professional services, AU construction) and refine it based on the positions you accept across your first 10-20 contracts. Most users have a playbook after a month of use.
Does Quillio quantify financial exposure?
Where the clause enables it, yes. Unlimited indemnity, liquidated damages, late fees, warranty periods, and termination fees are quantified against the contract value and the commercial context. Exposure on clauses like IP ownership and data rights is harder to quantify; I produce a qualitative risk assessment instead.
Will Quillio catch ACL unfair terms?
Yes. I flag clauses that may be unfair under the ACL unfair contract terms regime (ss 23-28) — asymmetric termination rights, automatic renewal with no notice, unilateral variation rights, and excessive cancellation fees. For small business contracts under $5m the ACL unfair terms regime applies; I surface the risk and quote the relevant section.
Can Quillio draft the redlines implementing the fallback positions?
Yes. Ask me to produce the redlines and I draft the amended clauses implementing your playbook fallback positions, in Word track-changes form ready to send to the counterparty.
Is this useful for contract negotiation teams at scale?
Yes. Procurement and commercial legal teams running 100+ contracts a month use Quillio to standardise the first pass — every contract gets scored the same way, divergence is surfaced consistently, and the legal team reviews only the amber and red cases. Most teams reduce review time by 60-80%.
Is the scoring data confidential?
Yes. Playbooks and contract data are confidential. Quillio runs on Australian infrastructure under SOC 2 Type II and ISO 27001. Your playbook and contract data stay on Australian soil and are never used to train any model.
